I don't think that sounds fair but you have to decide that for yourself.
To me that sounds like the typical negotiation crap you'd get if you were just trading it in.
If your car isn't currently having problems why do you want to get rid of it? I have a feeling the issues will come back though... at least from the similar problems I've seen.
I would check your state lemon laws and see if you qualify before agreeing to BMW's offer.
