No, just the gasket needs to be changed. Do you have a factory oil cooler or not? If you DO, then you will need 2 gaskets. WITHOUT the cooler, there is just 1.
With cooler, numbers 4 and 5:

Obviously, you need to verify this is where your leak is coming from. It's the most common one I see on N54's, though.
