advice on purchase

I am looking at a 2006 330i and wanted to get some thoughts on the price, the car is as follows:

2006 330I CPO with extended warranty
45,XXX miles
sport
premium
navigation
6-speed

The dealership has it listed at 24,988, and has come down to around 24,500. I was hoping to get the car for 22,500 to 23,000. Any suggestions on how their price is and any hints on negotiating. The car is loaded and the color I want, but I am tempted to just stick to my price and wait a couple days. With this market and more 06 330 coming off lease there is not a shortage... Am I being too demanding, is the dealer price good?

Also, they quoted me as .9 on 36 month, 2.9 on 48 and 3.9 on 60, is that BMW finance's current offer?

Thanks.
