2008 CPO 535i Loaded

So I am in negotiations with a dealer at this time about a CPO 08 535i with almost every option checked off. Here is a short list:

Sport Package
Premium Package
HUD,
PDC,
Active Steering,
NAV
Ventilated Seats
Heated Steering Wheel
Lane Departure Warning
Etc

I optioned out this car at BMWUSA and it has about 25k in options and accessories. The total MSRP was about 75k. It has 17k miles and he wants 42k for it. Is this a good deal?

just to give OP some idea. BMW are discounting the 5 series heavily right now. i don't think it's a stretch to get a '09 or '10 brand new 535i (well not fully loaded like that one) for under 50k. i know the new '10 550i with no options are selling for 50k on carsdirect.com
