URGENT: About to order an E90, is this a good price?

I am about to put an order down for a 2010 328i xDrive with an MSRP of 42,590. The dealer said the best he could do on price is $1,000 over invoice. Is this a good deal, assuming I can still get the 1,500 holiday credit? Also, he said there are other costs such as gas, mats, prep, etc. What should I expect to pay for that?

EDIT: in the excitement I forgot to say, I would be paying 40,035 for the car with a money factor of 0.0024 (5.76%)

It sounds like a bad deal. First of all, always AVOID dealers that ask you to pay fro gas, mats and prep. They're REQUIRED to do that by BMW and it comes at no cost. If you bar otherwise report it to BMW NA.

Now, not sure what a money factor is, but if you're talking about financing, you should get 3.9%.

Decent price...A good deal would be around $39,600 (93% of MSRP). He's full of sh*t if he's charging you for gas, prep and mats...that's ridiculous

Would paying $1,000 over invoice (price would be 40,035) and then only having to pay the first month's payment, security deposit, and acquisition fee of $725.00 be good?

What is acquisition fee? Never heard of it - maybe it is some lease thing (I always bought my cars).
You've to pay delivery fee of $875 (I think that's how much they charge now), registration (DOE fee and not a penny more), dealers fee (up to $599 is common), and sometimes some environmental fees for tires and such which is ~$20. That's it, no other fees.
REFUNDABLE security deposit of up to $1,000 is common.
