Anyone want to own a piece of Dinan?

Looky at what showed up in my inbox this morning. If I believed more strongly in their business model I might just grab some but unfortunately I believe BMW Performance parts will push them out and I think they're taking too much potental liability with their warranty. I wish them all the best though.

CANFE VENTURES PROVIDES QUALIFYING TRANSACTION UPDATE

Canfe Ventures Ltd. has entered into a definitive agreement for the arm's-length acquisition of 100 per cent of the shares of common stock of Dinan Engineering Inc. which replaces the letter agreement reported in Stockwatch news on Jan. 12, 2009. This transaction is intended to qualify as Canfe's qualifying transaction under TSX Venture Exchange Policy 2.4.
Dinan, a private company with headquarters in Morgan Hill, Calif., was founded in 1979. Its business is organized into four distinct yet complementary divisions. Dinan's high-performance products division develops, manufactures and sells a wide range of performance-oriented aftermarket products for certain high-performance BMW automobiles. Dinan's aftermarket products are distributed through a North American network of approximately 140 authorized Dinan dealers. Dinan's software division develops performance-enhancing software for BMW engine management and other control systems. Dinan's service centre division operates automotive service centres which provide automotive maintenance specializing in high-performance BMW automobiles. The Dinan service centres also act as a retail sales distribution channel for Dinan's high-performance products and software. Dinan's engine development division produces high-performance engines for BMW automobiles for street and racing applications. Dinan has been featured in more than 77 road tests and 12 cover stories in the automotive press.

In conjunction with the proposed transaction, Canfe and Dinan have signed an engagement letter with Canaccord Capital Corp. to sell, on a commercially reasonable efforts basis, units of Canfe at a price of 30 cents per unit to raise gross proceeds of up to $3-million with an overallotment option of $1-million. Each unit will consist of one Class A common share of Canfe and one-half of one share purchase warrant. Each whole share purchase warrant will entitle the holder to purchase one Class A common share of Canfe at a price 40 cents for a period of 24 months from closing. A preliminary prospectus relating to the concurrent financing has been filed with, and a receipt for the preliminary prospectus has been issued by, the securities commissions of British Columbia, Alberta and Ontario.

Not really that surprising. If you want to make a lot of money investing, do the opposite of what I do.

No, I wouldn't invest a plugged nickel of my money.

I do hope they work it out, though...Dinan has been around for a long time and it would be a pity to lose them.

I always find it funny when I read all these haters of Dinan products. Many of whom have never owned anything from them. People on here are funny that way. They figure that since their products are pricey they must be a rip off. The 335 crowd has gotten to be this tuner/youngster group these days. There are less and less educated people buying these cars.

Well, it doesn't seem like they can offer shares to the US, but I did inquire about it before. Maybe one would have to open a Canadian brokerage account, if that is possible. I didn't receive an email from them even though I have contacted them a few times...

It looks to me like they are trying to raise venture capital using a COM approach. I doubt you could buy as a non-resident of the provinces where they have registered. They would have to register with the Securities Commissions anywhere else they might want to shop their COM (an expensive proposition). It would be interesting to read the COM to see what steps they've taken to lock up Steve Dinan's involvement as he would be key to the company's future prospects in my view.

ok.. i'll bite....

I have never owned anything from Dinan... there is a reason.... it's expensive.... do you get what you pay for ??? show me !! Personally I like to think that i've taken the time to become educated about all of the options and made informed decisions about which tuning products I buy.... (money vs quality vs performance vs safety)

There used to be a time when Dinan was the only way to go... not so anymore...... to call people less educated for reading the boards, and making decisions based on all of the shared information in the community seems to me to be either someone with a personal stake in dinan (whether it's previously purchased products for their old E36 or an investment in the company)... or someone that's scared of things they don't understand fully.

oil cooler.. about 1000...

so... 4000 grand for the same stuff by almost any other name... with better performance.. .and without being reliant on the dealer to make it go, and re-update it every time i get a DME update...

i'm educated enough to know that I don't want to spend an extra 3500-4000 just to match the factory warranty... . that's about 20% of the cost of the engine... .. sorry, i'll take my chances... in the meantime either invest the $ (but not in dinan stock ..keeping it on topic here ) or spend it on family/kids..etc.... or work less to spend more time with family/kids...

we all make our choices... not saying yours is wrong... but for that money/performance... In my mind... I'd just buy a stock m3 and leave it alone....

Dinan costs more because it is the only product you can bring into dealerships and not have to remove it so you can get warranty work done. In fact they are the only company that matches your warranty of your car. If you take your car in with your Procede, Helix Intercooler and Intake on it, what will your dealership say? Dinan is expensive since they have to provide money to pay for things in case they break. Sorry to say but Vishnu and Burger Motorsports won't fix anything that breaks on your car while their tune is on it. Do you know why?

Think about it.

I have Dinan products on my car. I also think Procede is a nice tune if you are more concerned about hp than anything else. There are different strokes for different folks. Don't put down something simply because it is expensive. You bought(or your Dad) a $50k dollar BMW. Should you really buy the cheapest products for your car to mod it? This isn't a Honda Civic or Subaru. I think most people here forget that either because they leased the car or they have never ownded a business before.

Call up Shiv and ask him to replace your fuel pump if it breaks. See what he says.

Now you seem like a smart guy but asking this question shows me that you haven't thought much about it OR you are just starting sh*t on the boards. I have no problem with other tunes but don't buy another tune unless you are willing to deal with losing out on warranty coverage at some point. It may happen and it HAS happened.

If I do the ASR turbo upgrade and get a Procede I won't be concerned about warranty work as much as going fast. You are probably the same guy who thinks that $5k for new turbos is expensive on this car as well.
