WOW,thanks guys ,so i went to look at the car yesterday ,test drove it looked at the tires,wheels ,engine bar and all and it looked good .Asked a lot of questions you guys are asking and this are their answers

1)the car was used by BMW corporate and driven by some one at BMW corporate,so I am buying the car from a BMW dealership. they said they bought from BMW corporate auction that only BMW dealers are allowed

2) They salesman said the car could not be cpoed due to the initial high price of 41,000.If they cpoed it the price would be chose to that of a new one.It has the 50,000/4yrs or what ever warranty,the fuel pump warranty is also extented to 120,000/10yrs

3)the car has been on the lot for 200 days,they have dropped the price twice ,they need their money now so have to sell it at this price.

4) i asked for the service records and there is nothing on the car,no service has every been done,actually they will do the oil change since its about a year now.

have not close the deal yet,I was pressed for time so i put down a deposit, will go back sometime next week.
i thing i realize ,on both the carfax and auto check report the car mileage starts at 11,400 that was the mileage the car was auctioned,is it because it was corporate owned? the salesman has no clue so he said he will go inquire from BMW why its is so.
i forgot to look at the tile to see if there was a first owner ,also i did not ask of the PPI.will do next time
i plan to take the car to an independent mechanic to check everything ,then if it checks out OK,i will close the deal.

Why would you "put down a deposit" on the car if you haven't "closed the deal yet"? What is the purpose of your deposit then?

$34k sounds like a fair retail price on a 2009 E90 335i with 12,000 miles (that invoiced for almost $45k new). But it may have been possible to negotiate a better price on a non-CPO car. Before making an offer on any used car, I recommend getting a temporary subscription to Galves (for less than $20) to determine the wholesale "trade-in" and "market ready" values of the car(s) you're interested in.

The car will be covered under warranty for the next 3 years and the HPFP will be covered for 12000 miles. I bought a 2009 335i e90 non CPO with the same config last year( in Jun09) for 39k( with 8000 miles) and had the BMW PPI done. I loved the car, but needed HPFP replacement once before it was totaled 3 months back in an accident.
Anyway.. I think it is a decent buy.. try to haggle with the price a little bit if the PPI checks out ok. Good luck
