It depends on the level of warranty he chooses to purchase. There are many types of warranties to choose from. I just sold an 08 M5 two nights ago and my client purchased a premium level extended third party warranty. Its the exact same warranty that the car came with. Now he's got peace of mind.

The fact that car 2 has had 4 owners making me the 5th kinda worries me.

And i really really like the red leather. Tough choices.

And the fact that car 1 has 50% less miles is a big bonus also.
also car 2 has the seat a/c which is nice but the seats with the a/c look funny to me and if happen to spill something in them it never comes out

OPTION 3: Buy neither and wait until i find exactly what i want and therefore im not settling for an in between what i want and what i can find.

From my understanding they only sell about 2000 M5s in the USA a year and only 200 are manuals so i am guessing there is about 20 White with red manual M5's in the US, so it could be a long wait if i dont jump on on of the 2 im talking about

Look into rod bearing issues on the V10 M5 and see if it is still something you want to get involved in without a warranty, or deep pockets.
